RealNetworks acquired substantially all of the assets of Trymedia, a pioneer in Casual Games syndication, from Santa Clara, Calif.-based Macrovision. The acquisition was part of Real's strategy to build reach through syndicated distribution partnerships, and followed its acquisition of New York-based Game Trust in 2007 and a strategic partnership with Amsterdam-based The Spill Group announced earlier in 2008. With more than 250 partners, including AOL, Yahoo!, Telstra and T-Online, Trymedia provided innovative syndication and commerce solutions that enabled portals, online retailers and game developers to securely distribute PC games through physical and digital channels and maximize revenue throughout a game's lifetime. RealNetworks acquired Sao Paulo, Brazil-based Atrativa, the most visited casual games site in South America for an undisclosed price. Founded in 2001, Atrativa was Brazil's most widespread casual games distributor to the largest localized portals in South America.
RealNetworks acquired all of the outstanding securities of Exomi in exchange for $11.2 million in cash payments, including $468,000 in direct acquisition-related costs consisting primarily of professional fees. Exomi is located in Helsinki, Finland, and is a provider of short message service (SMS) messaging and gateway products and services with customers primarily in Europe and Latin America. The Company believed that combining Exomi's assets and network with the Company's products and services would enhance its presence in the European and Latin American markets.
RealNetworks acquired 100% of Sony NetServices, a joint venture between Sony DADC and Sony Europe. Sony NetServices provided mobile operators with digital music services in eight European countries. Based in Helsinki, Finland and founded in 1999, Mr.Goodliving has created exceptional, high-quality casual mobile games available throughout Europe. The company's library of popular games includes the Playman Sports™ series and the European-distribution rights for the mobile edition of Trivial Pursuit™. Mr.Goodliving's games are available today through more than 100 distributors and carriers including, Vodafone Global Content Services, MMO2 Group, Telefonica, H3G, T-Mobile International, and Orange Group. In addition to its great games, Mr.Goodliving has developed EMERGE™, a proprietary development platform which enables rapid and scalable publishing of games to more than 200 handsets in 20 languages. The acquisition establishes Real in the mobile games market, provides new market opportunities for its existing library of game titles, and will expand the reach of Mr.Goodliving's titles into the US and Asia. RealNertworks acquired Seattle-based GameHouse®, Inc. a top developer, publisher and distributor of downloadable PC games, in a cash and stock transaction valued at approximately $35.6 million. Founded in 1998, GameHouse has consistently published many of the top casual games on the Internet - including Super Collapse® II, Puzzle Inlay, and TextTwist®. GameHouse distributes these games through its own direct-to-consumer web site (www.gamehouse.com), through third party affiliates, and through distributors that include Comcast, Earthlink, Pogo.com, MSN, RealArcade, Shockwave, Sony, and Yahoo! In 2003, GameHouse generated over $10 million in revenue and $5.5 million of net income. RealNetworks acquired GameHouse for approximately $14.6 million in cash and approximately 3.3 million shares of RealNetworks common stock. RealNetworks acquired privately-held Xing Technology Corporation, the leading developer and provider of MP3 software. Xing Technology Corporation has been a leading provider of standards-based digital audio and video compression technology for nearly a decade. Xing has been a leader in the multimedia revolution since 1990 by introducing a numerous innovative technologies and products to the marketplace, including the first software JPEG, the first software MPEG audio/video encoders and decoders, MP3 applications and software-based DVD playback. RealNetworks acquired Xing in exchange for common stock in RealNetworks with a maximum value of $75 million. The acquisition, which was accounted for as a pooling of interests was completed on September xx, 1999.
RealNetworks acquired Vivo Software, Inc., the leader in developing streaming video creation tools distinguished by their ease-of-use and high production quality across multiple bit rates that offer support for both HTTP and specialized streaming media servers. The VivoActive family of tools enable Web developers to create and deliver streaming digital media, including video and audio, over corporate Intranets and the World Wide Web. The acquisition was accounted for as a purchase transaction. All outstanding shares of Vivo were exchanged for 1.1 million new RealNetworks shares, which were valued at $17.1 million on the date of announcement (3/25/98).
